Filetable Terms of Service

These Terms govern business use of Filetable, a Swiss document and data platform operated by Trembley et Burgermeister SA, Satigny (Geneva). They form the contract between Trembley et Burgermeister SA and the business that opens a workspace.

Version 1.5 — effective 2026-10-14

1. Who we are and what these Terms cover

Filetable is operated by Trembley et Burgermeister SA, a public limited company (société anonyme) under Swiss law, Chemin de l'Epinglier 4, 1242 Satigny, Canton of Geneva, Switzerland, entered in the commercial register of the Canton of Geneva under business identification number (UID) CHE-101.917.143. General contact: legal@filetable.com.

In these Terms, "we" and "us" — and "Filetable" where it refers to a party rather than to the Service — mean Trembley et Burgermeister SA as operator of the Service.

These Terms of Service (the "Terms") govern your use of the Filetable web application, its APIs, the inbound email address issued to your workspace, and the related documentation and support (together, the "Service").

You accept these Terms by ticking the acceptance box when you create your account, by continuing with a Google sign-in after being referred to these Terms, or by using the Service. If you accept on behalf of a company or other organisation, you confirm that you are authorised to bind it. In these Terms, "you" and "Customer" mean that organisation.

The Agreement between us consists of the documents below. Where they conflict, the higher-ranked document prevails for the subject matter it covers.

RankDocumentWhat it governs
1The Data Processing Agreement (DPA)Our processing of personal data contained in your Content: sub-processors, security measures, international transfers, assistance with data-subject rights
2Your order, plan selection or signed quoteCommercial terms: plan, seats, AI credits, price, billing period, term
3These TermsEverything else in the relationship
4The Privacy PolicyInformation about personal data we process as controller (account, billing, security). Informational, not a source of contractual obligations

2. Definitions

  • "Content" means everything you or your users put into the Service or generate through it: uploaded documents, files received at your workspace's inbound email address, imported CSV and camt.053 files, tables, columns, rows, cell values, relations, views, generated documents, and the metadata attached to them.
  • "Workspace" means the isolated tenant in which your Content, users, permissions and settings live.
  • "User" means an individual you authorise to access your Workspace.
  • "AI Credits" means the unit in which AI processing capacity is allocated to your Workspace and consumed by it.
  • "Document", where used to express an allowance, means one file processed by the Service, as an indicative estimate of AI Credits under section 5 — not a unit of billing.
  • "Sub-processor" means a third party that processes personal data contained in your Content on our behalf. The current list is published at /legal/subprocessors and forms Annex 2 of the DPA.
  • "Documentation" means the product documentation and help material we publish for the Service.
  • "Billing Period" means the recurring period for which fees are charged, as stated in your order (monthly or annual).

3. Who may use Filetable

Filetable is offered to businesses, self-employed professionals, associations and public bodies acting in a professional or commercial capacity. It is not offered to consumers, and it is not intended for personal or household use. Swiss and EU consumer-protection rules are therefore not designed to apply to this Agreement.

To open a Workspace you must be at least 18 years old and legally able to enter into a binding contract on behalf of the organisation you represent.

You may not use the Service if you are subject to Swiss, EU, UK or US sanctions, or if you are established in a country where we or our payment provider cannot lawfully make the Service available. Payments are processed through Stripe, which does not support buyers in a small number of countries; where a payment cannot be processed, the Service cannot be provided.

We may decline to open, or may close, a Workspace where we cannot provide the Service lawfully.

4. Accounts, workspaces and users

Each Workspace has one or more administrators. Administrators invite users, assign roles, and configure permissions, including the granular permissions Filetable offers down to an individual table, folder, file, row or column.

How your Content is exposed inside your organisation is your decision and your responsibility. We provide the permission model; you configure it. Review permissions after any change to your table structure and after any change to your team.

You are responsible for the confidentiality of your users' credentials and for everything done through your Workspace by your users, whether or not you authorised it. Tell us at security@filetable.com as soon as you suspect unauthorised access.

Our support staff can access a Workspace only where the access is permission-gated, and every such access is logged from start to finish. We access Content only where it is necessary to provide support you have requested, to investigate a security or availability incident, or to comply with a legal obligation.

5. Plans, AI credits and quota

Your plan determines the members, rows, storage and AI Credits available to your Workspace, and which features are enabled. Current plans and prices are published on our pricing page and stated in your order. The binding allowance of a plan or a credit pack is its number of AI Credits.

AI Credits are consumed by the parts of the Service that call an AI or OCR system: optical character recognition of uploaded documents, extraction of structured values into your tables, embeddings used for matching and search, classification and auto-organisation, and document generation where it uses an AI step. Actions that do not call those systems, such as manual editing, filtering, tabular import, exporting or sharing, do not consume AI Credits.

Documents are an estimate. Where the pricing page, the application or any other material expresses an allowance or a pack as a number of documents, that figure is indicative only and assumes about 1,000 AI Credits for a one-page document. What a document actually consumes depends in particular on its number of pages, the schema of the table it is extracted into, the number and nature of the values to extract, matching against your other data, and any re-processing or retry you or the Service trigger. A document may therefore consume more, or fewer, AI Credits than the estimate, and no number of documents is guaranteed. The AI Credits a document consumed are shown in its processing history. The number of AI Credits an operation consumes reflects what the underlying AI and OCR processing costs; we may adjust it for future processing, and we give notice under section 23 of a change that materially increases it.

AI Credits included in a plan are allocated each month on the billing day, including for annual plans. Unused included credits do not carry over to the following month.

Additional AI Credits are sold as prepaid packs, shown with their price and, where applicable, their volume discount at the time of purchase. A discount is given as additional AI Credits in the pack, not as a reduction of the invoiced amount. Purchased credits are credited to the Workspace that bought them once the payment is received, and are used after the included credits and any bonus credits, up to the monthly spending limit you set in the application. Purchased credits have no cash value, cannot be transferred to another Workspace, and are not refundable except where section 6 or mandatory law provides otherwise; where a purchase is refunded, reversed or charged back, the corresponding credits are removed. Credits left unused when a Workspace is closed lapse.

Limits are checked when work starts, not continuously while it runs. Work already in progress — a processing step already under way for a document, or any other operation already started — is completed even where it takes usage beyond a limit, so that your Content is never left half-processed. Actual usage may therefore exceed a stated limit for a period (for example, an allowance of 50 documents may end the month at 53). Such an excess is not a breach of this Agreement by us, does not entitle you to any refund, credit or compensation, and does not entitle you to exceed the limit again. Where additional usage is enabled, the AI Credits consumed by such an excess are drawn from your purchased credits; otherwise they are not charged. If your usage persistently exceeds your plan's limits, we may ask you to change plan.

When your Workspace exhausts its AI Credits or reaches a plan limit, AI processing is paused rather than cancelled. Queued work is held, and new work that would consume credits is queued. You keep full access to your Workspace and can still upload, read, edit, import, export and share; actions that would add rows, storage or members beyond a limit are refused until there is room again. Queued work resumes automatically when additional capacity is available or a new monthly period begins; nothing is discarded because of a pause. Time-sensitive processing therefore depends on sufficient capacity being available.

6. Fees, billing and taxes, and who you are buying from

Fees are payable in advance for each Billing Period and, except where these Terms or mandatory law say otherwise, are not refundable for a period already started.

Who contracts with you for the purchase depends on where you are established. This affects invoicing, tax and refunds. In both cases, these Terms govern your use of the Service and the DPA remains directly between you and Trembley et Burgermeister SA, because it is Trembley et Burgermeister SA that processes your Content.

Your rights in respect of the Service itself remain governed by these Terms.

6.1 Consequences of the merchant-of-record split, and payment terms

If you are established outside Switzerland, the purchase contract for the subscription is between you and Stripe, and Stripe's buyer terms and refund policy apply to that purchase. These Terms remain the terms on which you may use the Service.

If Stripe refunds, cancels or reverses a purchase, or a chargeback removes payment for a Billing Period, the corresponding right to use the Service ends for that period and we may suspend or close the Workspace under section 17.

For Swiss customers billed directly by Trembley et Burgermeister SA, invoices are due on the date stated on the invoice. If payment is late, default interest of 5% per year applies from the date you are in default, under art. 104 CO, and we may suspend the Service under section 17 after a written reminder and a further seven days.

We may change prices. We will give at least 30 days' notice by email and in the application, and a price change takes effect at your next renewal. If you do not accept it, you may cancel with effect from the end of the current Billing Period.

Fees are exclusive of taxes except where the table above says otherwise. You are responsible for any withholding tax and for your own tax reporting.

7. Your Content: ownership and the licence you give us

You own your Content. We claim no ownership of it, and nothing in this Agreement transfers any right in it to us. As between you and us, all intellectual property and database rights in your Content remain yours or your licensors'.

You grant us a non-exclusive, worldwide, royalty-free licence to host, store, encrypt, transmit, copy for backup, index, display and process your Content, and to transmit it to the Sub-processors on the list published at /legal/subprocessors, for one purpose only: to provide, secure, support and maintain the Service for you, and to run the features you or your users invoke. The licence lasts as long as the Content is in your Workspace and ends when the Content is deleted, subject to the retention exceptions in section 19.

We do not sell your Content, do not use it for advertising, and do not use it to train any AI model. See section 8.

We use aggregated operational metrics about how the Service performs, such as request counts, processing durations, queue depths and error rates. These metrics contain no Content and no personal data. Product analytics is planned and not active; once enabled, it will be our own processing as controller, carried out on our servers only with pseudonymous user and workspace identifiers and without Content, file names or email addresses, as described in the Privacy Policy.

The Service keeps short-lived working state so the product is usable: extraction drafts for 60 minutes, and undo snapshots for 30 minutes (up to 24 hours while a playbook is left unfinished). These are working conveniences, not a backup service, and you should not rely on them to recover data. Our database backups exist for disaster recovery of the platform, not for restoring individual records on request.

8. How AI processing works

Filetable reads your documents with third-party AI services, including text recognition, in order to extract structured data. Content is therefore transmitted to Sub-processors.

Filetable selects, and may change, the providers and models it uses for each task among the AI providers on the Sub-processor list published at /legal/subprocessors. Changes to that list follow the DPA, and section 23 does not apply to them. Where your documents are stored, the countries where they may be processed and the safeguard for each transfer are set out in the Privacy Policy (/legal/privacy) and on the Sub-processor list. Your documents are stored in Switzerland.

No AI model is trained or fine-tuned using your Content, and our agreements with our AI providers prohibit them from using it to train their models.

Extraction output is a suggestion. Filetable presents extracted values for a human to review, correct and accept in your Workspace. It does not make decisions about people, and it is not designed to produce legal or similarly significant effects on a person; for that reason we do not consider extraction to be automated individual decision-making within the meaning of art. 22 GDPR. You must not configure your own processes so that an unreviewed extraction produces such an effect.

AI output can be wrong, incomplete or mis-attributed, particularly on poor scans, unusual layouts and handwriting. You are responsible for reviewing extracted values before relying on them. Filetable is a data tool. It does not provide accounting, tax, audit, legal or medical advice, and its output is not a substitute for professional judgement.

9. Acceptable use

You and your users must not:

  • upload or process Content that you have no right to upload or process, or that infringes a third party's rights;
  • use the Service for unlawful content, or to store or distribute malicious code;
  • use the Workspace's inbound email address as a relay for unsolicited mass email, or in a way that breaches art. 3 para. 1 let. o of the Swiss Unfair Competition Act (UCA);
  • attempt to circumvent the permission model, quota, rate limits or billing;
  • probe, scan or test the security of the Service other than through our responsible-disclosure process at security@filetable.com;
  • reverse engineer, decompile or attempt to derive the source code, prompts or model configuration of the Service, except to the extent mandatory law permits it and only after asking us first;
  • use the Service, or output from it, to build or train a competing product, or to publish benchmarks of it without our prior written consent;
  • resell, sublicense or make the Service available to a third party outside your organisation, except to your own clients where your plan expressly permits it;
  • place an automated load on the Service that is disproportionate to normal use of your plan.

We may set and enforce technical rate limits to protect the Service for all customers.

10. Your responsibilities for the data you upload

You decide what to put into Filetable. Our customers are finance, accounting, HR and back-office teams, and the documents they upload routinely contain personal data and often special categories of it: medical invoices, payroll files, absence records, bank statements. We do not choose to process that data. You do, by uploading it.

Accordingly you are responsible for, and you confirm that:

  • you have a lawful basis for the processing you instruct us to carry out, including for any special-category data under art. 9 GDPR and any sensitive personal data under FADP art. 5 let. c;
  • you have given the information your own data subjects are entitled to (FADP art. 19, GDPR art. 13 and 14), including that a processor and its sub-processors are involved and where processing takes place;
  • you have carried out any data protection impact assessment your processing requires (FADP art. 22, GDPR art. 35), and you operate your own retention rules;
  • the Content is accurate and lawfully obtained, and you correct or delete it when you should;
  • you handle requests from your own data subjects, with the assistance we owe you under the DPA;
  • you configure Workspace permissions so that only the people who should see a document, table, row or column can see it.

You must not use Filetable for a purpose that requires a licence or authorisation you do not hold.

11. Availability, maintenance and support

We aim to keep the Service available and to operate it professionally. These Terms do not include a commitment to a specific availability level. Customers who require a contractual service level may contact legal@filetable.com to agree one as a separate schedule.

We carry out maintenance. Where planned maintenance is likely to interrupt the Service, we give advance notice in the application. Emergency maintenance may take place without notice where necessary to protect security or data integrity.

Features labelled beta, preview or experimental are provided as they are, may be changed or withdrawn, and are excluded from any commitment made elsewhere in this Agreement.

Support is provided in English and French by email on Swiss business days.

Security reports sent to security@filetable.com are acknowledged within 24 hours.

12. Security

The security measures we operate are described in full, as technical and organisational measures, in the annex to the DPA. They include:

  • Encryption in transit with TLS 1.2 or 1.3, and encryption at rest with AES-256 by our hosting provider for both file storage and the database.
  • Application-level encryption of each file with its own 256-bit key (AES-256-GCM), sealed separately. Keys are never shared between files or between customers.
  • Encryption of files uploaded from a browser before they are stored. Files received at your Workspace's inbound email address or generated by the Service are encrypted on our servers before storage.
  • A managed database, hosted by Microsoft Azure in Switzerland, accessed over TLS with certificate verification, with backups kept in Switzerland.
  • Access control through workspace roles and granular per-object permissions.
  • Support access to a customer Workspace that requires specific authorisation and is logged.
  • Operational monitoring through infrastructure we operate ourselves, without a third-party monitoring provider.

Filetable does not currently hold SOC 2 or ISO/IEC 27001 certification. We intend to pursue certification as the company grows, and we answer customer security questionnaires in full.

You are responsible for the security of your own environment, including up-to-date browsers, managed devices and the prompt removal of users who leave your organisation.

13. Data protection

For personal data contained in your Content, you are the controller and we are the processor. That processing is governed by the DPA, which forms part of this Agreement and which meets the requirements of FADP art. 9 and GDPR art. 28 para. 3.

For a limited set of data we are the controller in our own right: account and identity data, billing data, security and audit events, support correspondence and, once introduced, product analytics. Our Privacy Policy describes that processing and the retention periods that apply to it.

We have not appointed a Data Protection Officer. Under FADP art. 10 a Swiss data protection advisor is optional, and the conditions in GDPR art. 37 that would make a DPO mandatory are not met at our current scale. Privacy questions go to privacy@filetable.com.

Where we serve customers established in the EEA, we will designate an EU representative under GDPR art. 27 and publish its details in the Privacy Policy.

14. Confidentiality

Each party may receive confidential information from the other: information marked as confidential, or which a reasonable business person would understand to be confidential from its nature or from the circumstances of disclosure. Your Content is your confidential information by default. Our non-public pricing, our security architecture, our choice and configuration of the providers and models used for each task, and our Documentation are ours.

Each party will use the other's confidential information only to perform this Agreement, will protect it with at least the care it uses for its own confidential information of similar importance, and will disclose it only to employees, contractors and advisers who need it and who are bound by equivalent duties.

These duties do not apply to information that is or becomes public without breach, was already lawfully known, is independently developed without use of the other party's information, or is lawfully received from a third party without restriction. A party may disclose confidential information where a law, court or authority requires it, and will, where lawful, tell the other party first so it can seek protection.

Confidentiality survives the end of this Agreement for five years, and for as long as the information remains a trade secret in the case of trade secrets.

15. Our intellectual property, and your feedback

The Service, including its software, interfaces, data model, prompts and model configuration, Documentation, name and logo, belongs to Trembley et Burgermeister SA or its licensors. This Agreement grants you a limited, non-exclusive, non-transferable right to use the Service during the term, for your internal business purposes, in accordance with your plan. Nothing else is granted, expressly or by implication.

If you send us feedback, suggestions or feature requests, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction and without obligation to you. We will not identify you as the source without your consent, and feedback never makes us the owner of any of your Content.

16. Term, renewal and cancellation

The Agreement starts when you first accept these Terms and continues for as long as you have an active Workspace.

Subscriptions run for the Billing Period stated in your order and renew automatically for the same period unless cancelled. To cancel, use the cancellation function in the application before the end of the current Billing Period. Cancellation takes effect at the end of that period; the Service continues until then, and fees already paid for the current period are not refunded.

When a cancellation takes effect, your Workspace moves to the free Basic plan, whose limits apply from then on. Your Content stays in the Workspace until you delete it. Where it exceeds a Basic limit, nothing is deleted, but work that would go beyond the limit is paused (section 5).

If you are billed by Stripe as merchant of record, cancellation of the subscription is also processed through Stripe, and Stripe's refund policy applies to the purchase.

17. Suspension

We may suspend all or part of the Service, with as much notice as the circumstances allow, where:

  • fees are unpaid after a reminder and a further seven days;
  • your use presents a security risk to the Service or to other customers;
  • there is a material breach of section 9 (acceptable use) or section 10 (your data responsibilities);
  • a law, court or competent authority requires it.

Suspension will be proportionate: where a single Workspace object or a single user is the problem, we will restrict that rather than the whole Workspace where it is technically possible. We restore the Service promptly once the cause is resolved. Suspension for non-payment does not relieve you of the fees for the suspended period.

18. Termination for cause

Either party may terminate this Agreement with immediate effect by written notice if the other:

  • commits a material breach that is capable of remedy and does not remedy it within 30 days of written notice;
  • commits a material breach that cannot be remedied;
  • becomes insolvent, enters composition or bankruptcy proceedings, or ceases to trade.

We may terminate with immediate effect where Content is manifestly unlawful, where continuing would expose us or another customer to serious legal or security risk, or where acceptable-use breaches repeat after warning.

You may terminate with immediate effect if we materially reduce a core feature you depend on, in the circumstances described in section 23.

If you terminate for our breach, or we terminate without cause, we refund fees paid for the unused remainder of the current Billing Period, pro rata. Where Stripe is the merchant of record, that refund is processed by Stripe.

19. Export and deletion at the end

You can export your Content at any time. The Service provides self-service export, including a structured JSON export and download of the original files. Cancelling a paid plan does not remove your Content or your access to it (section 16). We recommend exporting your Content before you delete a Workspace or before this Agreement ends.

Files and folders you delete stay in the Workspace's trash for 30 days, where they can be restored, and are then deleted permanently; you can also delete them permanently from the trash before then.

When this Agreement ends, when you ask us to delete your Content, or when you delete a Workspace, the Content concerned is removed from our live systems within 30 days. Database backups expire on their 35-day cycle.

The following records are retained after deletion, where required by law or necessary to demonstrate compliance:

20. Warranties and their limits

We warrant that we will provide the Service with the reasonable skill and care of a competent Swiss software provider, that we have the right to grant the rights we grant here, and that we will not knowingly introduce malicious code into the Service.

Beyond those warranties, and to the extent Swiss law permits, the Service is provided as it is. In particular we do not warrant that:

  • the Service will be uninterrupted or free of errors;
  • AI extraction, classification, matching or generation output will be accurate, complete or fit for a particular decision;
  • the Service will satisfy a regulatory, accounting or audit requirement that applies to you;
  • the Service is suitable for a use case you have not discussed with us.

You warrant that you hold the rights and the lawful basis for the Content you upload, and that your use of the Service complies with the laws that apply to you, including data protection, professional secrecy and record-keeping law.

This section does not limit liability that section 21 says cannot be limited.

21. Limitation of liability

Please read this section carefully.

What we do not and cannot limit. Nothing in this Agreement excludes or limits liability for unlawful intent or gross negligence: art. 100 para. 1 CO makes any advance exclusion of such liability void, and no such exclusion is made. Nor do we limit liability for death or personal injury, for fraud, or for any liability mandatory law does not allow to be limited, including liability to data subjects under FADP or GDPR art. 82.

What is limited. For slight negligence, our total aggregate liability under or in connection with this Agreement, on whatever legal ground, is limited to the fees you paid for the Service in the 12 months before the event giving rise to the claim. Where the claim arises in the first 12 months, the cap is the fees paid to date, annualised.

What is excluded. To the extent Swiss law permits, neither party is liable for indirect or consequential loss, lost profits, lost revenue, lost savings, loss of goodwill or reputation, or the cost of substitute services. We are not liable for loss or corruption of Content to the extent it would have been avoided had you exported and kept your own copies, or had you not relied on the 30-minute undo window or the 60-minute extraction drafts as a backup.

Auxiliary persons. To the extent art. 101 para. 2 CO permits, we exclude liability for damage caused by our auxiliary persons, including subcontractors, save for the liability described above as not limitable. This does not affect our responsibility for Sub-processors under the DPA, which follows GDPR art. 28 para. 4 and is not limited by this paragraph.

Free and beta use. Where the Service or a feature is provided free of charge or in beta, we are liable only for unlawful intent and gross negligence.

The caps in this section are cumulative across all claims, not per claim. The statutory limitation periods are not modified by this Agreement (Article 129 CO).

22. Indemnity

You will defend and indemnify Trembley et Burgermeister SA against third-party claims, and against fines, damages and reasonable legal costs finally awarded, arising from Content you uploaded or processed, from your breach of section 9 or section 10, or from your infringement of a third party's rights.

We will defend and indemnify you against third-party claims that the Service, used in accordance with this Agreement, infringes that party's Swiss or EU intellectual property rights, and against damages and reasonable legal costs finally awarded. This does not apply to claims arising from your Content, from a modification you made, or from use of the Service in combination with something we did not supply. If such a claim arises, we may at our option obtain the right for you to continue, modify the Service so it no longer infringes, or terminate the affected part and refund fees for the unused remainder of the Billing Period. Our liability under this indemnity is subject to section 21.

An indemnity applies only if the indemnified party notifies the other promptly, gives it control of the defence, and cooperates reasonably. No settlement admitting liability or imposing an obligation on the indemnified party may be made without its consent.

23. Changes to the Service and to these Terms

We develop the Service continuously and may add, change and remove features. Where a change removes or materially degrades a core feature you rely on, we will give at least 30 days' notice, and you may terminate the affected subscription with effect from the date of the change, with a pro-rata refund of fees for the unused remainder.

We may change these Terms. We will give at least 30 days' notice by email to your Workspace administrators and in the application, and will summarise what changed. Changes take effect at your next renewal, or 30 days after notice for subscriptions with no renewal date. If you do not accept a change, you may terminate before it takes effect. Continuing to use the Service after it takes effect means you accept it.

Changes we are required to make immediately by law, by a court or by an authority take effect when required, and we will tell you as soon as we can.

Sub-processor changes follow the DPA: general written authorisation with at least 30 days' notice of any addition or replacement, by email and on the list published at /legal/subprocessors, a right to object, and the right to terminate the affected part of the Service if we cannot accommodate a reasonable objection.

24. Assignment and subcontracting

You may not assign or transfer this Agreement without our prior written consent, which we will not unreasonably withhold. Consent is not needed for a transfer to a successor of your whole business, provided the successor is not a competitor of ours and you tell us in advance.

We may assign this Agreement to an affiliate, to a successor in a merger, reorganisation or sale of substantially all our assets, or to a company that takes over the operation of Filetable, by notice given to you at least 30 days in advance. If we do, the DPA and the Privacy Policy transfer with it and your rights under them are unaffected, and you may terminate this Agreement with effect from the transfer if you do not wish to continue with the new operator.

We may use subcontractors to perform the Service. Where a subcontractor processes personal data, it is a Sub-processor and the DPA applies to it. We remain responsible to you for their performance, subject to section 21.

25. Force majeure

Neither party is liable for a failure or delay caused by an event beyond its reasonable control: natural disaster, war, terrorism, civil unrest, epidemic, a strike affecting a third party, failure of a public telecommunications network or of a public cloud region, an act of a public authority, or a widespread internet or power outage.

The affected party must tell the other promptly and do what it reasonably can to limit the effect. Payment obligations already due are not excused. If a force majeure event continues for more than 30 days, either party may terminate the affected subscription by written notice, and we refund fees for the unused remainder.

26. Notices

We give notice to you by email to your Workspace administrators and, for anything material, also in the application. You are responsible for keeping administrator email addresses current.

You give notice to us by email to legal@filetable.com and, for notices requiring written form, also by registered post to Trembley et Burgermeister SA, Filetable, Chemin de l'Epinglier 4, 1242 Satigny, Switzerland.

Security reports and vulnerability disclosures: security@filetable.com. Privacy and data-subject matters: privacy@filetable.com.

Email is sufficient for all notices under this Agreement except termination for cause under section 18, which must also be sent by registered post.

27. Governing law and place of jurisdiction

This Agreement, and any non-contractual obligation arising from it, is governed by Swiss substantive law, to the exclusion of its conflict-of-laws rules and to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (Vienna, 1980).

The exclusive place of jurisdiction is the ordinary courts of the Canton of Geneva, Switzerland. Mandatory places of jurisdiction are reserved, as is the right of either party to seek interim relief before any competent court.

Where Stripe is the merchant of record for your purchase, the law and forum governing that purchase are those stated in Stripe's buyer terms. This section governs the Service and the rest of this Agreement.

28. Final provisions

Entire agreement. This Agreement, with the documents ranked in section 1, is the whole agreement between us on its subject matter and replaces earlier proposals and representations, except for fraudulent statements.

Severability. If a provision is void or unenforceable, the rest stands, and the void provision is replaced by a valid one that comes closest to its economic purpose.

No waiver. Failure to enforce a right is not a waiver of it.

No partnership. Nothing here creates a partnership, joint venture or employment relationship, and neither party may bind the other.

Language. The English text of these Terms is the master version. The French translation is provided for convenience; in case of divergence the English text prevails.
